Terms & Conditions

Supplier agrees to the following terms and conditions as well as any terms and conditions specified in purchase orders and / or any other document or agreement with JRT Hunt Inc.


Confidentiality:

Documents provided for quotes or purchase orders shall be considered confidential and not shared outside the Supplier’s company except as specifically agreed for subcontracting requirements. Documentation is to be used solely by the Supplier and only as required to evaluate and to administer contract terms and conditions. Export control requirements, including ITAR  and any others restricting access to data will be enforced by the supplier as appropriate.


Flow-Down Requirements:

Any relevant flow down provisions listed on the customer’s purchase order or as stated on the purchase requisition. For Honeywell product, supplier agrees to Honeywell Supplemental Purchase Order Requirements (SPOC) and applicable government regulations. For Meggitt product, supplier agrees to PRC 10. If access to current requirements is needed, contact JRT Hunt, Inc.


Suppliers agree to ensure that persons in their organizations are aware of the following:

 - their contribution to product or service conformity

- their contribution to product safety

- the importance of ethical behavior


Supplier Records:

Records related to production and retained at the supplier are to be available for review as needed.


Right of Access:

 JRT Hunt Inc. and/or its representative(s), has the right to enter the supplier’s premises at reasonable times and on reasonable notice to observe and/or verify work being performed for it, and to assess supplier’s quality system to ensure that JRT Hunt Inc.’s requirements are met. This right of access is extended to include JRT Hunt Inc.’s customers(s) and regulatory authorities; it includes all applicable areas of the facilities, at any level of the supply chain involved in the order  and to all applicable records. Verification, by JRT Hunt Inc. or its representative, at the supplier’s premises does not absolve the supplier from providing acceptable product or service, nor does it preclude subsequent rejection by JRT Hunt Inc.


Delegated Product Verification:

Follow any defined requirements regarding delegated product verification. supplier will delegate product verification to a subcontractor only with JRT Hunt's written approval; requirements of delegation will be documented and communicated to JRT Hunt, Inc. Records of delegation, requirements and results will be maintained by the supplier.


Key Characteristic Control:

Ensure that key characteristics are adequately controlled. This includes key characteristics that are not verifiable by JRT Hunt Inc. upon receipt.


Corrective Actions:

Provide written responses to JRT Hunt Inc. requests for corrective action arising from product, service or system deficiencies within 14 days of the request. Response shall include a statement of the root cause(s) of the deficiency, a statement of actions taken and to be taken to eliminate such root cause(s), and a date for completion of actions.


Sub-Contracting:

Agrees that no sub-contracted work shall be performed for JRT Hunt Inc. except with JRT Hunt Inc.’s express written approval and subject to the terms and conditions of such approval. Supplier shall ensure that any approved subcontract supplier shall also accept responsibility to comply with all terms and conditions and are approved by the JRT Hunt Customer for the specific processes at the time the work is completed.


Communication of Requirements:

Requirements will be communicated to the supplier by means appropriate to the circumstances which may include hard copy transmission by mail or facsimile, verbal communication with confirming hard copy, E-mail or transition by the Internet or private Electronic Data Interchange. JRT Hunt Inc. purchase orders shall be placed only after all specifications have been satisfactorily negotiated, except that an order may be placed with price and/or delivery to be negotiated subsequently.


Changes:

Agrees to notify JRT Hunt Inc. of proposed changes in product, manufacturing process, site, source or material when responding to an RFQ, or if an RFQ has not been issued for a job, prior to performing the operations in the Purchase Order. Supplier is responsible to notify JRT Hunt, Inc. of changes that relate to JRT Hunt Inc. product requirements for which the supplier has, and may again perform operations.


Example of process changes include but are not necessarily limited to the following:

 1. Material used to manage the process i. Chemical or physical properties ii. Optional material iii. Any change to sub-tier supplier (Ex. new sub-tier supplier) iv. The source of a material, sub-component or out-sourced operation

 2. Procedure (routers, work instructions, etc...)

 3. Acceptance test procedure

 4. Test equipment

 5. Use of any tooling that has not been in production for a period of one year or more

 6. Rework, refurbishment or replacement of any portion of the tooling used to produce the item on this Purchase Order (this does not include consumable tooling). Any change in the manufacturing process that changes or alters the configuration, composition, or physical properties of the item produced.

 7. Location of the internal or external site where some or all of the work is being performed, including movement of the production line equipment.

 8. Ownership

 9. Inspection techniques i. Reduction, increase, and etc.

10. Production line machine/equipment changes

11. Any change in the supplier’s or sub-tier -supplier’s process, tooling or engineering

12. Process changes i. Sequence of an operation ii. Method of an operation iii. Adding or deleting an operation iv.

A change that does not impact the above criteria But Does impact cost/price, including incentives and fees, guarantees, warranties, and contracted deliveries or milestones, shall also be submitted for approval


Notification of Change in Quality Certification:

Should supplier quality certification expire be revoked, supplier will communicate the change in status. Certification renewal will be communicated with copies of the renewal.


Calibration:

Calibration performed for JRT Hunt shall be performed to manufacturers’ specifications unless otherwise noted. Documentation of calibration performed for JRT Hunt, Inc. shall include specifications and standards used for the calibration and measurements where applicable. Data for devices found to be out of tolerance shall include the degree of variance to requirement.


Quality and Delivery:

Agrees to maintain at least 95% quarterly average on-time delivery and 95% quarterly average for product conformity. 


Nonconforming Product:

Identify, segregate and return all nonconforming product and notify JRT Hunt Inc. of the nonconformance.


Counterfeit Product Prevention:

 - Maintain controls for acquiring externally provided product from original or authorized manufacturers, authorized distributors, or other approved sources -

- Assure traceability of parts and components to their original or authorized manufacturers

- Quarantine and report suspect or detected counterfeit parts

a)Supplier represents and warrants that Counterfeit Goods are not contained in Goods delivered to Buyer through the implementation of policies that include prevention, detection and risk mitigation methods to protect against the use of Counterfeit Parts.

(b) Supplier shall purchase parts directly from the Original Component Manufacturer (OCM) / Original Equipment Manufacturer (OEMs), or from the OCM authorized or franchised distributor. Procurement through an independent distributor, non-franchised distributor or broker is NOT authorized. A certificate of conformance shall accompany each shipment of Goods delivered, along with OCM/OEM documentation that authenticates traceability of the components to that applicable OCM. If an original OEM/OCM certificate is NOT available, distributor shall provide a De-lid and Die Verification Report for the supplied parts verifying authenticity of the parts and such other documentation, testing and/or other information as Buyer shall reasonably request; however, the submission of such additional items shall not relieve Supplier of its obligations hereunder.

(c) In the event Supplier becomes aware or suspects that it has furnished Counterfeit Parts, it shall immediately notify Buyer. When requested by Buyer, Supplier shall provide (if available) Authorized Supplier documentation that authenticates traceability of the parts to the applicable Authorized Supplier.

(d) In the event that Goods delivered under this Order are, or include, Counterfeit Parts, Supplier shall promptly investigate, analyze and report in writing to Buyer whether such Counterfeit Parts should be replaced with genuine parts conforming to the requirements of this Order, or whether an alternative solution is recommended to meet the Order requirements at Supplier’s sole expense. The parties shall then agree upon the appropriate course of action. (e) Supplier shall include this clause or reasonably equivalent provisions in all subcontracts for the delivery of Goods that will be furnished to or included in Goods furnished to Buyer.


Conflict Materials:

Because JRT Hunt does not source directly from smelters or mills, engagement with our suppliers is a fundamental element of our efforts to comply with legislation and customer requirements regarding the sourcing of materials from countries or areas considered conflict sources. JRT Hunt, Inc.  requires its suppliers to comply with the Dodd-Frank Wall Street Reform and Consumer Protection Act and to support  the organization in fulfilling its obligations under the rule, including providing information regarding the country of origin of any 3TG components supplied to JRT Hunt. When non-compliance is detected, we will attempt to work with the supplier concerned to correct the situation. If a supplier remains non-compliant, we will evaluate our options, including but not limited to reassessment of the supplier relationship.

Seller hereby certifies that no material delivered by Seller to Buyer under this Order contains any substance originating from the Democratic Republic of Congo or any other country that would require disclosure by Buyer under the conflict minerals provisions of the Dodd-Frank Wall Street Reform and Consumer Protection Act, or any rule promulgated there under. Seller represents and warrants it has adopted all appropriate policies and procedures and has taken all necessary measures, in accordance with the conflict minerals provisions of the Dodd-Frank Wall Street reform and Consumer Protection Act and all rules promulgated there under, to grant the certification in the proceeding sentence. Seller shall flow down the substances of this clause to its suppliers which perform work or provide goods or services under this Order. Such flow down is subject to verification by buyer.


ITAR Compliance:

Supplier will maintain ITAR compliance and assist JRT Hunt Inc. in maintaining compliance by ensuring that no foreign person will be in contact with defense articles or technical data either at JRT Hunt Inc. or related to JRT Hunt Inc. product.


Cybersecurity:

Supplier agrees to achieve and maintain compliance DFARS Clause 252.204-7012 and NIST 800-171. Supplier will have a plan to protect controlled, unclassified information and  to recognize and report any system breach or failure to protect information. JRT Hunt, Inc. will be informed of any failure in data security. 

                     

Prohibit Discrimination:

This contractor and subcontractor shall abide by the requirements of 41 CFR 60–1.4(a), 60–300.5(a) and 60–741.5(a). These regulations prohibit discrimination against qualified individuals based on their status as protected veterans or individuals with disabilities, and prohibit discrimination against all individuals based on their race, color, religion, sex, sexual orientation, gender identity, national origin, or for inquiring about, discussing, or disclosing information about compensation. Moreover, these regulations require that covered prime contractors and subcontractors take affirmative action to employ and advance in employment individuals without regard to race, color, religion, sex, sexual orientation, gender identity, national origin, disability or veteran status.


Payment Terms:

Unless other agreement has been made, payment terms will be Net 30 Days.


Cybersecurity:

Supplier agrees to develop and maintain policies and procedure that enable them to be in compliance with NIST SP 800-171 . Supplier will monitor DOD / DFARS requirements and update security plan and processes as needed to maintain compliance to current requirements. Any identified or suspected security breach will be promptly reported per NIST and to JRT Hunt, Inc.
